B3 POS SOFTWARE PRODUCT LICENSE AGREEMENT

PLEASE READ THIS AGREEMENT CAREFULLY BEFORE USING THE SOFTWARE PRODUCT. JINCADA B3 POS INC. ("JINCADA") WILL LICENSE THE SOFTWARE PRODUCT TO YOU AS THE INDIVIDUAL, THE COMPANY, OR THE LEGAL ENTITY THAT WILL BE USING THE SOFTWARE (REFERENCED BELOW AS "YOU" OR "YOUR") ONLY IF YOU FIRST ACCEPT THE TERMS OF THIS AGREEMENT BY USING THE SOFTWARE PRODUCT. IF YOU DO NOT AGREE TO THE TERMS OF THIS AGREEMENT, YOU ARE NOT AUTHORIZED TO INSTALL, COPY, OR OTHERWISE USE THE SOFTWARE PRODUCT.

THE TERM "SOFTWARE PRODUCT" MEANS THE ORIGINAL SOFTWARE PRODUCT AND ALL WHOLE OR PARTIAL COPIES OF IT. A SOFTWARE PRODUCT CONSISTS OF MACHINE-READABLE INSTRUCTIONS, AUDIO/VISUAL CONTENT (SUCH AS IMAGES, TEXT, RECORDINGS, OR PICTURES), AND RELATED LICENSED MATERIALS.

THE SOFTWARE PRODUCT IS OWNED BY JINCADA B3 POS INC. OR A JINCADA B3 POS INC. SUPPLIER, AND IS COPYRIGHTED AND LICENSED, NOT SOLD. THE SOFTWARE PRODUCT IS PROTECTED BY COPYRIGHT LAWS AND INTERNATIONAL COPYRIGHT TREATIES, AS WELL AS OTHER INTELLECTUAL PROPERTY LAWS AND TREATIES.

1. LICENSE RENEW AND PRODUCT KEY
(a) THE LICENSE IS BOUND TO THE HARDWARE COMPONENTS OF THE COMPUTER BY AN ANNUAL PRODUCT LICENSE KEY ("PRODUCT KEY"). IF YOU REPLACE A NETWORK CARD, YOU HAVE TO PURCHASE ANOTHER LICENSE.
(b) THE LICENSE SHOULD BE RENEWED ANNUALLY. YOU AGREE TO PAY JINCADA THE ANNUAL FEE IN ADVANCE FOR THE USAGE OF THE SOFTWARE PRODUCT.
(c) THE SOFTWARE PRODUCT WILL BE DEACTIVATED IF A VALID AND EFFECTIVE PRODUCT KEY IS NOT INSTALLED AS REQUIRED.
(d) TO KEEP THE SOFTWARE PRODUCT WORKING APPROPRIATELY, YOU AGREE TO DOWNLOAD AND ISNTALL THE PRODUCT KEY BEFORE THE SOFTWARE PRODUCT IS DEACTIVATED.
(e) THE PRODUCT KEY WILL BE READY FOR DOWNLOAD ONLY IF YOU HAVE PAID THE ANNUAL FEE ACCORDINGLY.
(f) REFUND POLICY - YOU UNDERSTAND THAT NO REFUNDS OR CREDITS WILL BE GIVEN ONCE AN ANNUAL FEE PAYMENT IS MADE.
(g) JINCADA MAY, BUT IS NOT OBLIGATED TO, REMIND YOU THE EXPIRATION OF YOUR LICENSE OR PRODUCT KEY. IT IS YOUR RESPONSIBILITY TO RENEW YOUR LICENSE ANNUALLY AND KEEP THE PRODUCT KEY EFFECTIVE IN YOUR PC. JINCADA IS NOT RESPONSIBLE FOR ANY LOSS OR DAMAGE CAUSED BY THE DEACTIVATION OF THE SOFTWARE PRODUCT OR THE EXPIRATION OF PRODUCT KEY.
(h) JINCADA RESERVES THE RIGHT TO CHANGE THE ANNUAL FEE. THE CHANGE NOTICE WILL BE POSTED ON THE WEB SITE.

2. GRANT OF LICENSE
JINCADA GRANTS YOU A NONEXCLUSIVE LICENSE FOR THE SOFTWARE PRODUCT. THIS AGREEMENT GRANTS YOU THE FOLLOWING RIGHTS:
(a) USE. YOU MAY INSTALL AND USE ONE COPY THE SOFTWARE PRODUCT ON A SINGLE COMPUTER.
(b) BACKUP. YOU MAY STORE A COPY OF THE SOFTWARE PRODUCT ON A STORAGE MEDIA SOLELY FOR BACKUP PURPOSE.

3. OTHER RIGHTS AND LIMITATION
YOU MAY NOT REVERSE ENGINEER, DE-COMPILE, OR DISASSEMBLE THE SOFTWARE PRODUCT, EXCEPT AND ONLY TO THE EXTENT THAT SUCH ACTIVITY IS SPECIFICALLY PERMITTED BY LAW NOTWITHSTANDING THIS LIMITATION.

4. SOFWTARE PRODUCT SERVICES
JINCADA MAY, BUT IS NOT OBLIGATED TO, PROVIDE YOU WITH SUPPORT SERVICES RELATED TO THE SOFTWARE PRODUCT. USE OF SUCH SUPPORT SERVICES IS GOVERNED BY THE JINCADA POLICIES.

5. TRIAL VERSION
IF THE SOFTWARE PRODUCT IS A TRIAL VERSION, IT IS FOR EVALUATION PURPOSE ONLY. THE TRIAL VERSION SOFTWARE PRODUCT WILL BE EXPIRED BY A CERTAIN DATE. THE TRIAL VERSION SOFTWARE PRODUCT WILL BE DEACTIVATED AFTER ITS EXPIRY DATE, AND YOU WILL BE NO LONGER AUTHORIZED TO USE THE TRIAL VERSION SOFTWARE PRODUCT. ANY DATA CREATED IN THE TRIAL VERSION SOFTWARE PRODUCT IS ASSUMED TO BE DISPOSED AFTER THE EVALUATION OR EXPIRY DATE. THE DATA CREATED IN A TRIAL VERSION SOFTWARE PRODUCT MAY NOT BE UPGRADEABLE OR EXPORTABLE TO A REGULAR VERSION SOFTWARE PRODUCT.

6. DIRECT PAYMENT CONNECTION
a) PIN PAD EXCLUSIVITY - TO ACCEPT DEBIT AND CREDIT PAYMENTS, DIRECT CONNECTION IS AVAILABLE ONLY IF THE CONNECTION IS SET UP FROM WITHIN THE B3 POS APPLICATION (STEP-BY-STEP AVAILABLE IN HELP SECTION). B3 POS HAS SET UP SPECIFIC AVENUES FOR END-USERS TO GET DIRECT CONNECTION AS SMOOTH AS POSSIBLE. YOU WON'T BE ABLE TO CONTACT THE PIN PAD PROVIDER DIRECTLY TO SET THIS UP FOR B3 POS, AS DIRECT CONNECTION FOR B3 POS REQUIRES SPECIFIC PROCESSES TO BE FOLLOWED.
b) QR CODE EXCLUSIVITY íV A 2D BARCODE SCANNER IS REQUIRED (NEEDS TO BE COMPATIBLE TO SCAN SMARTPHONES - CAN BE FOUND IN SHOP HARDWARE). TO ACCEPT ALIPAY, WECHAT PAY AND UNION PAY, DIRECT CONNECTION IS AVAILABLE ONLY IF THE CONNECTION IS SET UP FROM WITHIN THE B3 POS APPLICATION (STEP-BY-STEP AVAILABLE IN HELP SECTION). B3 POS HAS SET UP SPECIFIC AVENUES FOR END-USERS TO GET DIRECT CONNECTION AS SMOOTH AS POSSIBLE. YOU WON'T BE ABLE TO CONTACT OTTPAY DIRECTLY TO SET THIS UP FOR B3 POS, AS DIRECT CONNECTION FOR B3 POS REQUIRES SPECIFIC PROCESSES TO BE FOLLOWED.
c) NOTE: FOR NON-DIRECT PAYMENT CONNECTION, OFFLINE MODE TO ACCEPT DEBIT/CREDIT PAYMENTS AND QR CODE PAYMENTS IS AVAILABLE.

7. DISCLAIMER OF WARRANTY
(a) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, JINCADA AND ITS SUPPLIERS PROVIDE THE SOFTWARE PRODUCT AND SUPPORT SERVICES (IF ANY) AS IS AND WITH ALL FAULTS, AND HEREBY DISCLAIM ALL OTHER WARRANTIES AND CONDITIONS, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING, BUT NOT LIMITED TO, ANY (IF ANY) IMPLIED WARRANTIES, DUTIES OR CONDITIONS OF MERCHANTABILITY, OF FITNESS FOR A PARTICULAR PURPOSE, OF RELIABILITY OR AVAILABILITY, OF ACCURACY OR COMPLETENESS OF RESPONSES, OF RESULTS, OF WORKMANLIKE EFFORT, OF LACK OF VIRUSES, AND A LACK OF NEGLIGENCE, ALL WITH REGARD TO THE SOFTWARE PRODUCT, AND THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATION, SOFTWARE, AND RELATED CONTENT THROUGH THE SOFTWARE PRODUCT OR OTHERWISE ARISING OUT OF THE USE OF THE SOFTWARE PRODUCT.
(b) THERE IS NO WARRANTY OR CONDITION OF TITLE, QUIET ENJOYMENT, QUIET POSSESSION, CORRESPONDENCE TO DESCRIPTION, OR NON-INFRINGEMENT WITH REGARD TO THE SOFTWARE PRODUCT.

8. DISCLAIMER OF DAMAGES AND LIABILITY
(a) EXCLUSION OF INCIDENTAL, CONSEQUENTIAL, AND CERTAIN OTHER DAMAGES. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL JINCADA OR ITS SUPPLIERS BE LIABLE FOR ANY SPECIAL, INCIDENTAL, PUNITIVE, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS OR CONFIDENTIAL OR OTHER INFORMATION, FOR BUSINESS INTERRUPTION, FOR PERSONAL INJURY, FOR LOSS OF PRIVACY, FOR FAILURE TO MEET ANY DUTY INCLUDING OF GOOD FAITH OR OF REASONABLE CARE, FOR NEGLIGENCE, AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SOFTWARE PRODUCT, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT OR OTHER SERVICES, INFORMATION, SOFTWARE, AND RELATED CONTENT THROUGH THE SOFTWARE PRODUCT OR OTHERWISE ARISING OUT OF THE USE OF THE SOFTWARE PRODUCT, OR OTHERWISE UNDER OR IN CONNECTION WITH ANY PROVISION OF THIS LICENSE AGREEMENT, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE),STRICT LIABILITY, BREACH OF CONTRACT, OR BREACH OF WARRANTY OF JINCADA OR ANY SUPPLIER, AND EVEN IF JINCADA OR ANY SUPPLIER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
(b) LIMITATION OF LIABILITY AND REMEDIES. NOTWITHSTANDING ANY DAMAGES THAT YOU MIGHT INCUR FOR ANY REASON WHATSOEVER (INCLUDING, WITHOUT LIMITATION, ALL DAMAGES REFERENCED ABOVE AND ALL DIRECT OR GENERAL DAMAGES), THE ENTIRE LIABILITY OF JINCADA AND ANY OF ITS SUPPLIERS UNDER ANY PROVISION OF THIS LICENSE AGREEMENT AND YOUR EXCLUSIVE REMEDY FOR ALL OF THE FOREGOING SHALL BE LIMITED TO THE GREATER OF THE AMOUNT ACTUALLY PAID BY YOU FOR THE SOFTWARE PRODUCT OR U.S.$10.00. THE FOREGOING LIMITATIONS, EXCLUSIONS AND DISCLAIMERS SHALL APPLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EVEN IF ANY REMEDY FAILS ITS ESSENTIAL PURPOSE.

9. APPLICABLE LAW
(a) NEITHER PARTY MAY BRING A LEGAL ACTION UNDER THE AGREEMENT MORE THAN TWO YEARS AFTER THE CAUSE OF ACTION AROSE.
(b) THIS AGREEMENT IS GOVERNED BY THE LAWS OF THE COUNTRY IN WHICH YOU ACQUIRED THE SOFTWARE PRODUCT.

10. CUSTOMER DATA PRIVACY POLICY
a) THE INFORMATION RECEIVED FROM YOU (THE CUSTOMER) IS CONFIDENTIAL BY LAW AND WILL NOT BE SHARED BY JINCADA WITHOUT CUSTOMER CONSENT.
b) HTTPS://WWW.B3POS.COM HAS BEEN CERTIFIED FOR SECURE CONNECTION.
c) INFORMATION SUBMITTED TO THE WEBSITE BY THE CUSTOMER WILL BE USED TO GENERATE AND RENEW VALID PRODUCT KEYS FOR THE SOFTWARE PRODUCT UPON PAYMENT AND STORED FOR AT LEAST 2 YEARS AFTER LICENSE EXPIRY.
d) SAID INFORMATION WILL BE TRACKED BY JINCADA INTERNALLY FOR LICENSE KEY GENERATING PURPOSES.
e) CARDHOLDER INFORMATION IS NOT STORED BY SOFTWARE PRODUCT OR BY HTTPS://WWW.B3POS.COM BY LAW.
f) IF APPLICABLE TO YOU, JINCADA WILL ALLOW YOU TO REQUEST FOR ADDITIONAL PAYMENT SERVICE PROVIDERS (I.E. CREDIT, DEBIT ETC.). WITH YOUR APPROVED CONSENT, THE SOFTWARE PRODUCT WILL ALLOW YOU TO INPUT PERSONAL INFORMATION WITHIN THE PROGRAM TO BE COLLECTED AND TRANSMITTED ELECTRONICALLY AND SUBMITTED TO APPROVED THIRD-PARTY PAYMENT SERVICE PROVIDERS FOR FOLLOW-UP CONTACT.
g) THE FORUM SERVICES IS POWERED BY VANILLA FORUMS AND SELF-HOSTED BY JINCADA. JINCADA IS NOT ACCOUNTABLE FOR INFORMATION INPUTTED BY USERS IN THE FORUM PLATFORM, RATHER PRIVACY POLICIES BY VANILLA FORUMS APPLY. AT ANYTIME, THE B3 POS TEAM MAY REMOVE ANY POSTS DEAMED INAPPROPRIATE OR UNFIT BY JINCADA WITHOUT NOTICE.
